Q. Does Thomas Lighting Canada sell directly to customers?
A. No. To ensure that customers get personalized service we sell directly to distributors. Our distributors are experts of our products, knowledgeable about our products and are dedicated to providing excellent customer service.
Q. Do Thomas Lighting Canada products have a warranty?
A. Yes. Thomas Lighting Canada's obligation is expressed limited to repair or replacement, at its option without charge, at Thomas's factory within a period of one year from the date of shipment and only after prior written return authorization has been granted. All HID products are guaranteed for a period of two years. When customary or minor assembly or corrective adjustments are involved, it is the contractor's obligation to make necessary corrections or adjustments.
Q. What are Thomas Lighting Canada Terms and Conditions of Sale?
A. All sales of items in this price list (as well as all ?custom? variations) are made pursuant to these Standard Terms & Conditions of Sale. We will not be bound by the terms and conditions stated in a customer?s purchase order to the extent that the purchase order attempts to vary any of our standard sales terms. Thomas Lighting Canada reserves the right to change, modify or cancel any of its products without notice.
PRICING
All prices are subject to change without notice. Merchandise will be shipped at prices prevailing at time of shipment.
All taxes are extra.
PAYMENT TERMS
Net 30 days from date of invoice.
Minimum order value is $500.00, except for replacement parts where the minimum order value is $100.00. Past due accounts will be subject to a service charge of 1 1/2% per month.
FREIGHT AND DELIVERY
Freight will be pre-paid on each order or partial release totaling $2000.00 NET or more, except pre-paid shipments to the Yukon, Northwest Territories or Labrador where freight is allowed only to transfer point in the nearest province. Beyond charges are the responsibility of the purchaser.
Orders not qualified for pre-paid freight will be shipped with transportation charges added to the invoice.
All shipments will be made via carrier selected by the shipper. We will ship via carrier selected by customer provided customer assumes any additional costs.
Unless otherwise noted, all sales are FOB factory. Title to all products shall pass from Thomas Lighting Canada to our customers upon our receipted delivery of goods to carrier at FOB point (factory). Should loss or damage in transit occur, customer must make a claim against carrier immediately (no later than 24 hours is recommended).
DROP SHIPMENTS
Drop shipments will be made to distributor?s customers provided destination is within distributor?s normal trading area except for the Yukon, Northwest Territories or Labrador, in which case additional freight charges will be levied.
DATE OF SHIPMENT
Shipment dates are estimates only and based on conditions existing at the time of Thomas Lighting Canada?s receipt of customer order and full information. Thomas Lighting Canada will in good faith endeavor to ship by the estimated shipment date but it shall not be responsible for any delay or any damage arising there from. Freight terms apply only to the products shown in this price list and may not be combined with products from other divisions for freight allowance.
RETURNS AND CANCELLATIONS
No merchandise may be returned without prior written authorization. This written authorization will be issued at the discretion of Thomas Lighting Canada and must be requested by the customer within 90 days of the original shipment date. Non-defective material must be in sealed original carton.
Minimum value for a return must be $300.00.
All returned materials must be accompanied by a ?return goods authorization?. Any merchandise returned unaccompanied by this authorization will be refused.
All returns must be made ?freight prepaid? to the company
All returns will be subject to a minimum 25% handling and factory inspection charge, except on products considered by manufacturer to be defective in workmanship and materials.
Custom made equipment, ?specials?, non-stocking products and products that were drop-shipped to distributor?s customers provided destination may not be returned except for defects proven to be the manufacturer?s responsibility.
Cancellation of orders will be accepted only if made in writing but will be subject to a cancellation charge if not received within 5 working days of date of our acknowledgement of order. No cancellation will be accepted on undelivered items if production has commenced.
Custom made equipment, ?specials? and non-stocking products may not be cancelled after release of order.
Guarantee & Obligations
Thomas Lighting Canada warrants to the Purchaser that it?s products are free from defective materials and workmanship.
Thomas Lighting Canada?s obligation is expressly limited to repair or replacement, at it?s option without charge, at Thomas?s factory within a period of one year from the date of shipment and only after prior written return authorization has been granted. All Industrial HID products (excluding lamps) are guaranteed for a period of two years. When customary or minor assembly or corrective adjustments are involved, it is the contractor?s obligation to make necessary corrections or adjustments.
Thomas Lighting Canada shall repair or replace the product or refund the purchase price at it?s option, upon notification and confirmation of the local representative of the defect.
Thomas Lighting Canada shall not be responsible for material, labor or freight costs incurred in connection with the installation, removal or replacement of any products. In no event shall Thomas Lighting Canada be liable for special, indirect, incidental or consequential damages.
Fluorescent Ballast Guarantee ? Claims for defective ballasts found to be in warranty should be made directly to the ballast manufacturer through their local ballast service center or their field representative in order to expedite replacement. For minimal defective quantities (less than 5 ballasts), replacement may be made a local distributor. Thomas Lighting Canada is not responsible for any costs or expenses including without limitation any labor charges for replacement of defective ballasts. Any such costs would be the responsibility of and must be authorized by the ballast manufacturer.
This guarantee does not apply to Thomas Lighting Canada products which have been altered or repaired outside of Thomas? factory or have been subject to neglect, abuse or accident.
No other guarantee, expressed or implied exists beyond that included in this statement. Not withstanding any other provision in this contract and any applicable statutory provisions, Thomas Lighting Canada shall not be liable for special or consequential damages or damages for loss of use arising directly or indirectly from any breach of this contract, fundamental or otherwise or from tort or omissions of their employees or agents and in no event shall the liability of the company exceed the unit price of the product.
